For AI-generated content created from your materials, you are granted a non-exclusive, worldwide license to use such content for personal, educational purposes. NoteSpark AI retains all rights to the AI technology, algorithms, and software used to generate content.

5.3 Feedback and Improvements

If you provide suggestions, ideas, or feedback about the Service, you grant us a non-exclusive, royalty-free, perpetual, irrevocable license to use such feedback for any purpose without compensation to you.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL NOTESPARK AI, ITS AFFILIATES, DIRECTORS, EMPLOYEES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICE.

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATING TO THESE TERMS OR YOUR USE OF THE SERVICE SHALL NOT EXCEED THE AMOUNT PAID BY YOU TO US FOR THE SERVICE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO SUCH LIABILITY.

10. Indemnification

You agree to indemnify, defend, and hold harmless NoteSpark AI, its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

  • Your use of the Service
  • Content you upload, create, or share through the Service
  • Your violation of these Terms
  • Your violation of any rights of another person or entity

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United Kingdom, without regard to its conflict of laws principles. Any dispute arising from or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts in the United Kingdom.

Any dispute must first be submitted to non-binding mediation before initiating any formal legal proceeding. The mediation shall take place online or in a location mutually agreeable to the parties.

12. Academic Integrity

NoteSpark AI is designed as a learning aid to help you better understand and organize your course materials. You are responsible for:

  • Proper citation: If you use AI-generated content in your academic work, you must properly cite it according to your institution's guidelines.
  • Compliance with academic policies: Using the Service in a manner consistent with your institution's academic integrity policies.
  • Original work: Not submitting AI-generated content as your own original work when prohibited by your institution.

We are not responsible for any academic integrity violations resulting from improper use of our Service.
